1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you and Argonaut Solutions Inc., a Delaware corporation ("Argonaut Solutions," "we," "us," or "our") governing your license to access and use the Argonaut Platform (the "Platform"), a product of Argonaut Solutions Inc., including the web application, Chrome extension, and any related APIs or services.
By creating an account or otherwise using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform. If you are using the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
2. Eligibility and Professional Use Requirement
Access to the Platform is restricted to licensed insurance professionals. You represent and warrant that:
- You hold all applicable insurance licenses, appointments, or authorizations required by your jurisdiction for the activities for which you are using the Platform
- You are using the Platform solely in connection with your licensed insurance professional activities
- You are not using the Platform for personal, household, or consumer insurance purposes
- You are at least 18 years of age and have legal capacity to enter into this agreement
Argonaut Solutions reserves the right to verify your professional status and to suspend or terminate access if eligibility requirements are not met.
3. Account Registration
You must create an account to access the Platform. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@argonautplatform.com if you become aware of any unauthorized use of your account. We are not liable for losses arising from unauthorized access that results from your failure to safeguard your credentials.
4. Acceptable Use
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Platform for any purpose other than your licensed insurance professional activities
- Use AI-generated outputs to make underwriting, coverage, or claims decisions in a manner that violates applicable insurance law or regulation, including any prohibitions on unfair discrimination
- Input any information into the Platform that you do not have the right to process or share
- Attempt to circumvent, disable, or interfere with the Platform's security features or access controls
- Reverse engineer, decompile, or otherwise attempt to derive the source code of the Platform
- Scrape, copy, or systematically extract data from the Platform using automated means
- Share, resell, or sublicense access to the Platform to third parties not covered by your subscription
- Use the Platform in any way that violates applicable federal, state, or local laws or regulations
5. AI Output Disclaimer
AI-generated outputs from the Argonaut Platform — including underwriting recommendations, risk scores, fraud signals, coverage gap analyses, premium indications, and market appetite assessments — are decision support tools only. They are not professional insurance advice, binding underwriting decisions, coverage determinations, claims decisions, or regulatory guidance of any kind.
The Platform uses artificial intelligence and machine learning to analyze submission data and generate analytical outputs. These outputs may contain errors, omissions, or inaccuracies. You are solely responsible for:
- Reviewing, validating, and exercising independent professional judgment before acting on any AI-generated output
- All underwriting decisions, coverage determinations, claims decisions, and other professional decisions made using or influenced by Platform outputs
- Ensuring your use of Platform outputs complies with all applicable insurance laws, regulations, carrier guidelines, and professional standards
- Disclosing the use of AI-assisted analysis to clients, counterparties, or regulators where required by applicable law or regulation
Argonaut Solutions is not a licensed insurance agent, broker, underwriter, or carrier, and nothing in the Platform constitutes the practice of insurance or the provision of professional insurance services.
6. Third-Party Data
The Platform integrates data from third-party sources, including commercial data providers, public regulatory databases, and industry-specific data services. While we use commercially reasonable efforts to surface accurate and current data, we make no representations or warranties regarding the accuracy, completeness, timeliness, or fitness for a particular purpose of data obtained from third-party sources.
You should independently verify any third-party data that is material to a professional decision. Discrepancies between third-party data and information provided by applicants should be investigated through your normal professional diligence processes.
7. Confidentiality of Submission Data
Submission data processed through the Platform — including applicant business information, financial data, loss history, and ACORD application content — is confidential. You agree to use submission data only for the purpose of evaluating or placing the relevant insurance coverage and to handle it in accordance with all applicable privacy laws and your professional obligations of confidentiality.
Argonaut Solutions handles submission data in accordance with our Privacy Policy and applicable law, including the Gramm-Leach-Bliley Act Safeguards Rule.
8. License Grant, Subscriptions, and Billing
Subject to your compliance with these Terms and timely payment of applicable fees, Argonaut Solutions grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Argonaut Platform for your internal licensed insurance professional activities during the term of your subscription. This is a license to use the Platform, not a sale or transfer of the Platform or any rights in it — no ownership rights are conveyed. No license is granted for any purpose outside these Terms.
Access to certain features requires a paid subscription. Subscription terms, pricing, and billing details are presented at the time of purchase. By subscribing, you authorize Argonaut Solutions (through our payment processor) to charge your payment method on the schedule specified at purchase.
Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period. We do not provide refunds for unused portions of a subscription period except where required by applicable law. We reserve the right to change subscription pricing with at least 30 days' written notice to active subscribers.
9. Intellectual Property
The Platform, including all software, AI models, interfaces, data structures, documentation, and content created by Argonaut Solutions, is owned by Argonaut Solutions Inc. and protected by applicable intellectual property laws. These Terms do not transfer any intellectual property rights to you.
You retain ownership of submission data and case content that you input into the Platform and grant Argonaut Solutions a limited license to process that data solely to provide platform services. AI-generated outputs produced from your specific submission data are provided for your professional use; Argonaut Solutions makes no claims of ownership over those outputs.
10. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. ARGONAUT SOLUTIONS INC. DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR FITNESS FOR ANY PARTICULAR PURPOSE OF ANY AI-GENERATED OUTPUT OR THIRD-PARTY DATA SURFACED THROUGH THE PLATFORM.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARGONAUT SOLUTIONS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR PROFESSIONAL LIABILITY — ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ARGONAUT SOLUTIONS INC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL ARGONAUT SOLUTIONS INC.'S TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF CERTAIN WARRANTIES OR LIABILITIES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
12. Indemnification
You agree to defend, indemnify, and hold harmless Argonaut Solutions Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) any professional decision made using Platform outputs; or (d) your violation of any applicable law or the rights of any third party.
13. Termination
You may terminate your account at any time by contacting support@argonautplatform.com or through your account settings. Argonaut Solutions may suspend or terminate your access at any time for cause — including violation of these Terms, non-payment, or conduct reasonably likely to harm other users or the Platform — with advance notice where practicable. Upon termination, your right to access the Platform ceases immediately. Sections 5, 6, 9, 10, 11, 12, and 14 survive termination.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute that cannot be resolved informally shall be submitted to binding arbitration administered by JAMS under its Streamlined Arbitration Rules, with arbitration taking place in Delaware. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent irreparable harm.
You waive any right to participate in a class action lawsuit or class-wide arbitration against Argonaut Solutions.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice in the Platform at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
